The terms mentioned below are integral part of this agreement.
We reserve the right at any time and without notice to make changes to these terms and conditions.
Our offers are non-binding and they are valid for a period of 30 days.
No sales agents can make any commitment on behalf of TEA-Energy N.V. The order must be accepted by TEA-Energy N.V. in order to become a binding contract.
The responsibility of TEA-Energy N.V. for any damage created as a result of defective or malfunctioning products procured from TEA-Energy N.V. is limited to the maximum purchase price of the goods as mentioned in the attached contract. Any indirect liability which is as a result of defects or malfunctions in our product or it is a result of using our products is explicitly excluded.
Although TEA-Energy N.V. will do his best to deliver as soon as possible all the products ordered, no penalty will be eligible and as such will not be paid should the products arrive with delay, regardless of the delay reasons.
If the ordered products are not producible anymore (no raw materials available, changes in regulations, etc) TEA-Energy N.V maintains the rights to eventually change them with an equivalent or better products. Such a replacement will only be done after agreement with the buyer. The buyer in this case has the right to cancel the order.
If the buyer wants to cancel a confirmed order, a compensation fee will be charged of which value depends on the type of product and the moment when it is canceled. The minimum value is 30% of the order value.
All delivered products stay TEA-Energy N.V. property until they are fully paid.
All invoices must be paid in due time as mentioned on the invoice. Late payments are subject to an interest charge of 10% per year, calculated from the due date up to the date of full payment. All administration and eventual justice costs related to handling unpaid invoices will be charged in full to the client.
Conform to art. 1139, 1147 and 1152 of the Belgian Civil Code, after the expiry of the term of payment, the unpaid amount of the invoice will automatically be increased by 10%, without any notice of default being required, with a minimum of €125 as contractual fixed compensation.
Orders above €250 (ex VAT) are delivered without transport charges. For orders under €250 (ex VAT) a transport cost will be charged depending on the destination (€8 for Belgium).
All complaints regardless of their nature (technical, administrative, invoicing, logistic, etc) must be communicated in a written form to the headquarter of TEA-Energy N.V. within maximum 10 days after receiving of the invoice or within maximum 10 days after receiving the goods. After this time window, no complains will be taken into consideration.
TEA-Energy will only invoice the goods shipped out. In case that the shipped out goods represent only a part of the order because the rest is not yet in stock, only the shipped part will be invoiced and the rest of the goods will be invoiced only after their delivery.
Goods can be returned within maximum 10 days after delivery, and they can be reimbursed, only if they are in their new state and in their original undamaged package. The associated transportation charges will be paid by the customer who is returning the goods.
Visible damage must be stated in writing on the transport note at delivery time before signing the receipt. To avoid discussions, a copy of this notice and relevant photos of the damage must be sent to TEA-Energy N.V. After signing for receipt no complaints are accepted in this respect. After delivery, the customer becomes responsible for the delivered goods.
Our products are manufactured with the maximum care, but like any electronic products, there is a slight chance that they break down. Defective products will be repaired, exchanged or paid back (at the free choice of TEA-Energy N.V.) if the defects are a result of a product failure and not due a result of inappropriate usage like unprofessional installation, installation in humid areas, etc. If the products are misused, or not properly installed or any other causes which have nothing to do with the product itself, no warranty will be applied.
The warranty period depends on the product and it is defined on our website www.qaledo.com or www.qualedo-design.com, depending on the product groups.
The buyer is responsible for the installation of the products and the buyer should make sure that the products are installed by qualified professionals following the product installation instructions when applicable.
If the products are modified in any way – either electrically or mechanically for example (but not limited to) drilling extra holes, removing parts of the product, etc, the warranty will become void.
Any arbitration will be handled by the Brussels court of justice. Other instances can be used but only if demanded by Tea-Energy N.V.
